1. Introduction and Platform Governance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, “Purchaser”) and **RoundKart (Ratan Complex)**, having its Registered Office at Feelkhana Begumbazaar, Hyderabad, TS 500012 (“RoundKart”, “We”, “Us”). By accessing our e-commerce platform, administrative hubs, or AI-integrated interfaces, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Protocol.

2. Institutional Procurement (B2B)

For institutional clients, government departments, and large-scale commercial entities, procurement via RoundKart is governed by these Terms and any specific Purchase Order (PO) or Master Service Agreement (MSA). In case of conflict, the specific MSA shall prevail. All prices for institutional orders are subject to GST validation and statutory industrial levies.

3. Account Security and User Conduct

Users are responsible for maintaining the confidentiality of their credentials, particularly for the RoundKart Hub.

  • Prohibited Conduct: Users may not attempt to reverse engineer the RoundKart AI Bot, bypass administrative security protocols, or engage in automated “scraping” of catalog data without express written consent.
  • Termination: RoundKart reserves the right to suspend or terminate accounts that engage in fraudulent procurement or violate these conduct standards.

4. Payment Terms and Financial Compliance

All transactions will be accompanied by a valid GST invoice. It is the responsibility of the client to provide the correct GSTIN for input tax credit claims. High-value industrial kitchen and home technology orders are subject to payment verification. Orders may be held for processing until funds are cleared.

5. Force Majeure

RoundKart shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to factory-level production delays from principal manufacturers, transit disruptions, acts of God, or regulatory changes in industrial imports.

6. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in **Hyderabad, Telangana**.
